01Who we are and what these terms cover
These Terms of Service (the “Terms”) govern your use of arkv.io and its pages (the “Site”), operated by ARKHIVE Technologies Ltd. (“ARKHIVE”, “we” or “us”). By using the Site you accept these Terms. If you do not accept them, do not use the Site.
The ARKHIVE dApp at app.arkv.io, the mobile app, The ARK and the ARKHIVE Store may have their own terms, which apply in addition to these.
In these Terms, “platform assets” means the assets ARKHIVE plans to issue or list on its platform, such as Real World NFTs, Revenue Shares, Art Shares, Perks, Raffles, phygital items and ARKHIVE NFTs. It does not include the ARKV token, which section 6 covers.
02Pre-launch status and regulatory approvals
ARKHIVE is in a pre-launch phase and the full product has not been released. ARKHIVE is working toward the regulatory approvals and compliance steps that apply to the platform assets it plans to offer, and it will not issue or offer any platform asset until they are in place. Until then:
- no platform asset described on the Site is issued, offered or sold;
- no payout, distribution, allocation or reward described on the Site is made;
- products, screens and features may appear as previews, prototypes or with demo data.
We cannot predict when the approvals will be obtained, whether they will be obtained, or what conditions may come with them. Products described on the Site may change, be delayed or never launch.
03Information only. No offer, no advice
The Site is for general information. Nothing on it is an offer to sell, or a solicitation of an offer to buy, any security, derivative, token, digital asset or other financial product, in any jurisdiction.
Nothing on the Site is financial, investment, legal, accounting or tax advice, or a recommendation to buy, hold or sell anything. Get advice from your own qualified advisers before you make any decision.
04Examples, figures and forward-looking information
Examples, calculations, scores, prices, fees, percentages, supply figures, timelines and other numbers on the Site are demo figures for explanation only. They do not describe real assets, real issuers, real offerings or real results, and they are not forecasts, projections or promises.
Descriptions of how products, payouts, rewards, tiers, fees, allocations and distributions are designed to work, and statements about the roadmap and future plans, are forward-looking and speculative. They reflect current plans and assumptions, which may change or be dropped, and actual outcomes may differ materially. We have no duty to update them.
The ARK Score and any other rating or outlook on the Site is shown with demo data. It is not a guarantee, a valuation for any purpose or advice to buy.
05No commitments
Nothing on the Site creates any obligation for ARKHIVE to issue, offer, list, buy back or redeem any platform asset; to pay any amount, distribution, payout or reward; to provide any discount, tier, airdrop, perk or other benefit; or to keep any feature, fee level, allocation or program.
Any such obligation could arise only under a separate written agreement signed by ARKHIVE, such as a Revenue Distribution Agreement for a specific asset, and only once issuance is permitted.
06The ARKV token
ARKV is described on the Site as a utility token for use within the ARKHIVE platform. The utility features described on the Site, including fee discounts, tiers, the Echo Score and EchoChain Rewards, are planned and may change, be limited by law or not be offered.
Holding ARKV gives no ownership, equity, voting or membership interest in ARKHIVE Technologies Ltd. or any affiliate, and no right to its revenue, profits, dividends or assets. Exchanges and trading tools linked from the Site are run by third parties; any purchase or sale of ARKV is made at your own risk and under their terms.
07Risks
Digital assets and blockchain technology carry serious risks, including these:
- the value of tokens and digital assets can be highly volatile and can fall to zero;
- there may be no market to sell an asset, at any price;
- smart contracts, wallets, blockchains and connected services can fail, be attacked or contain errors, and blockchain transactions generally cannot be reversed;
- losing access to your wallet or its keys can mean losing your assets permanently;
- laws and regulations can change, and can limit or prevent the products described on the Site or affect their value;
- the revenue behind any future revenue asset can fall or stop, and the business behind it can fail.
Use the Site and any related service only if you understand these risks.
08Eligibility and where products are offered
You must be of the age of majority where you live to use services connected to the Site, and 18 or older for raffles. Products described on the Site may not be available, or may be restricted, in your country, province or state. You are responsible for following the laws that apply to you.
09Third-party links and services
The Site links to services we do not control, such as the Solana network, wallet providers, exchanges, market data sites, YouTube and news sites. We are not responsible for their content, availability, security or terms, and a link is not an endorsement.
10Intellectual property
The Site and its content, including text, images, 3D scenes, videos and logos, belong to ARKHIVE or its licensors. ARKHIVE, ARKV, ARK Shard, ARK Score, EchoChain and The ARK are names used by ARKHIVE. You may view the Site for your personal, non-commercial use. You may not copy, change, distribute or reuse its content without our written permission, except as the law allows. Partner names and logos belong to their owners.
11Acceptable use
Do not use the Site in a way that breaks the law, infringes anyone’s rights, interferes with the Site or its security, or tries to reach systems or data you are not authorized to access. Do not scrape or copy the Site at a scale that burdens it.
12Disclaimer
The Site is provided “as is” and “as available”. To the extent the law allows, we make no warranty of any kind about the Site or its content, including that it is accurate, complete, current, available or free of errors or harmful code.
13Limitation of liability
To the extent the law allows, ARKHIVE and its directors, officers, employees, contractors and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, tokens or digital assets, arising from your use of the Site or your reliance on its content.
Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.
14Changes to these Terms
We may update these Terms and the Site at any time. The date at the top of this page shows the current version. Using the Site after an update means you accept the updated Terms.
15Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to any mandatory rights you have where you live, the courts of the Province of Quebec have jurisdiction over any dispute about the Site or these Terms.
